RESOLUTION APPROVING PURCHASE AND SALE  AGREEMENT & OPTION TO REPURCHASE

Summary and Background Information:  
In October 2014, South Adams County Fire District (SACFD) approached the City about locating their new admin building on the Civic Center parcel.  The Civic Center parcel is owned by the Finance Authority.
Staff commissioned consultant to conduct "civic center land space analysis" to ensure that adequate room would still exist for future city facilities on the northern end of the site.  The potential fire building would be located to the west of the parking lot, approximately 1 acre in size.
After negotiations with the Fire District, and agreement was reached on deal terms, which allowed the creation of a Purchase and Sale agreement.  The following outlines the major deal points:
·      Release of the 1 acre from the Civic Center Site to the City.
·      For use by the Fire District for their administration building and subsequent station.
·      Master Lease Purchase Agreement provides for release and transfer of land in "Lot A" and "Lot B" under certain circumstances.
·      The Finance Authority Board stated that they would release the property for $16,000 per acre (original purchase price) plus closing costs and title expenses.  Bond council advised the legal fees would not exceed $5000.
·      The City will have 1st option on property if not developed as a fire admin building or if the Fire District sells this property in the future.
·      Agreement to address construction, design, and use of:
o      A shared Emergency Operation Center (EOC) to be used by both the Fire District and the City.  The EOC requirements are as follows:
-      Dedicated space not to be accessible or used by the general public.
-      Available to either the Fire District or City 24 hours a day, 7 days a week
-      1,000 sq. ft. minimum.
-      City (PD & IT) will have input on design and technology needs based on a needs assessment.
-      Secondary use for training, SACFD meetings, public safety meetings (subject to City and SACFD immediate needs).
-      The City will contribute the existing EOC equipment and will share operation and maintenance costs.
o      Community Room, which can be used for community events by both the Fire District and the City.
·      Road Extension
o      At the time of plat, a Public Improvement Agreement will need to be signed that will state that the future roadway on the western boundary of the property will be the responsibility of SACFD, unless KSE develops the adjacent commercial parcel first, in which case KSE will construct the road.
·      Water is being provided through an arrangement with the South Adams County Water and Sanitation District, and therefore is not addressed in this Purchase and Sale Agreement.
If Council approves the Purchase and Use agreement, the Finance Authority will take the steps required to transfer the property to the City, and the City will then be able to schedule a closing with SACFD.

Financial Impact:  There will be no immediate financial impact, because the $16,000 the city is paying to the Finance Authority will be covered by the $16,000 paid to the City by the Fire District.  Further, all EOC equipment that is provided by the City will be the existing equipment.
Staff Recommendation:  Staff recommends that City Council approve the Purchase and Sale Agreement
